It should offer some benefit to the person that is clicking on the link. So in should be industry specific or related.
It should include the targeted keyword phrase related to the site that it is pointed to in the anchor.
That links should be "Do Follow" thus it will pass link juice.
It certainly would be nice if that link came from a high PR page.
